Terms & Conditions

These Terms & Conditions (“Agreement”) are between you (the “User” or “Subscriber”) and Supatax, Inc. (“Supatax,” “we,” “us,” or “our”). By accessing or using our website, platform, software, or services (collectively, the “Services”), you agree to be bound by this Agreement (and any policies referenced here). If you do not agree, you must not use the Services.

1. Definitions

  • “User” / “Subscriber”: The individual or entity that registers to use the Services and accepts this Agreement.

  • “Services”: Supatax’s platform, software, tools, and features offered under a subscription model, including any updates or enhancements.

  • “Subscription Period”: The time frame for which you pay to use the Services (e.g. monthly, annual).

  • “Subscription Fee”: The price you pay for the Services, excluding taxes.

  • “User Data”: All inputs, content, documents, query data, and outputs you provide or generate through the Services.

  • “Overage”: Use beyond your plan’s included usage limits (e.g. number of calls, queries, or other quotas).

2. Grant of Rights

  • Supatax grants you a non-exclusive, non-transferable, revocable right to access and use the Services during the Subscription Period, and only as permitted in this Agreement.

  • You may allow authorized Users within your organization to access the Services, provided you do not exceed the user limits of your plan.

3. User Obligations & Restrictions

  • You agree (and will ensure your Users agree) to use the Services only for lawful purposes and in compliance with applicable laws.

  • You must not:
       a. Reverse engineer, decompile, or uncover source code of the Services;
       b. Use the Services to build a competing product or service;
       c. Share your credentials or allow unauthorized third parties to access the Services;
       d. Use the Services in any way that could harm, disable, overburden, or impair the platform;
       e. Transmit or store unlawful, infringing, or harmful content;
       f. Misuse trial or promotional offers.

4. Subscription, Billing & Payment

  • You agree to pay the Subscription Fee and any applicable taxes on a recurring basis as described in your Order (monthly, annually, etc.).

  • Payments are non-refundable. If you cancel, your access continues until the end of the current Subscription Period.

  • If usage exceeds your plan limits, overage charges apply at the rates disclosed in the plan.

  • Supatax may suspend or terminate Services if payment is not timely.

5. Renewal & Termination

  • Unless you cancel at least [X days] before the end of a Subscription Period, your subscription will auto-renew for the same term.

  • Either party may terminate this Agreement if the other materially breaches and fails to cure within [Y days] after written notice.

  • Upon termination:
       a. Your right to access the Services ceases;
       b. Supatax may delete or disable access to your User Data (unless legally required to keep it);
       c. Termination does not relieve you of payment obligations accrued prior.

6. Ownership & Intellectual Property

  • Supatax retains all rights, title, and interest in the Services, platform, technology, algorithms, and derivative works.

  • You retain ownership of your User Data, but you grant Supatax a license to store, process, display, and use it to provide the Services.

  • You represent that you have rights to all User Data you provide and that it does not infringe third-party rights.

7. Privacy & Data Security

  • Supatax will handle User Data in accordance with our Privacy Policy (incorporated by reference).

  • We implement security measures such as encryption, access controls, logging, and regular vulnerability testing to protect User Data.

  • In the event of a security breach, Supatax will notify affected users in accordance with applicable law.

8. Disclaimers & Limitations

  • The Services are provided “as is” and “as available,” without warranties of any kind (express or implied).

  • Supatax disclaims liability for performance interruptions, errors, data loss, or unauthorized access.

  • In no event will Supatax’s aggregate liability exceed the fees paid by you during the prior 12 months.

  • Supatax is not responsible for your use of outputs from the Services (e.g. tax advice, decisions). Always verify with professional judgment.

9. Indemnification

You agree to indemnify, defend, and hold Supatax and its affiliates harmless from any third-party claims, liabilities, damages, or costs (including attorney fees) arising from:

  • Your breach of this Agreement or violation of law;

  • Your User Data or misuse of the Services;

  • Your violation of third-party rights.

10. Modifications to the Agreement

  • Supatax may modify these Terms. We’ll notify you in advance (e.g. email, dashboard).

  • If you don’t accept the changes, you may cancel before changes take effect. Continuing to use Services means consent.

11. Notices

  • Supatax’s address for notices is [Insert Contact Info].

  • Notices to you will be made via email or via the platform dashboard.

12. Governing Law & Disputes

  • This Agreement is governed by [Your State / Country] law, without reference to conflict-of-law rules.

  • Parties agree to first negotiate in good faith. If unresolved, disputes shall be resolved by binding arbitration (or litigation, depending on your preference and local law).

13. Miscellaneous

  • Severability: If a provision is invalid, the remainder of the Agreement stays in effect.

  • No Waiver: Failure to enforce a provision is not a waiver.

  • Entire Agreement: This Agreement plus your Order and our Privacy Policy constitute the entire understanding between you and Supatax.
